One Person Corporation (OPC)
Run your business as a corporation on your own. An OPC gives a single owner the same limited liability as a traditional corporation, and we handle the registration from start to finish.
Why choose an OPC?
With a sole proprietorship, your personal assets are on the line for business debts. With a One Person Corporation, they're protected, because the company is a separate legal entity, and you still don't need any co-founders.
Filipinos and qualifying foreigners can register one. Our all-inclusive fee is PHP55,000.
What an OPC needs
| Owner | One stockholder: a Filipino, or a foreigner who meets the requirements |
|---|---|
| Liability | Limited, the same as a traditional corporation |
| Nominees | A nominee and an alternate nominee, to take over if the owner dies or becomes incapacitated |
| Treasurer | Must be appointed. If the owner acts as Treasurer, a surety bond is required |
| Registration | SEC, BIR and your local government unit |

OPC questions
What is a One Person Corporation?
A corporation with a single stockholder. It gives one person the limited liability of a traditional corporation without needing co-founders.
Can a foreigner set up an OPC?
Yes, as long as they meet the requirements, including the foreign ownership limits for the industry. For majority foreign ownership in general, see foreign company setup.
Do I need anyone else?
You need to name a nominee and an alternate nominee to take over if something happens to you, and appoint a Treasurer. If you're your own Treasurer, you'll need a surety bond.
OPC or sole proprietorship?
A sole proprietorship is faster and cheaper, but you're personally liable for business debts. An OPC protects your personal assets.
Will I need a business address?
Yes. A vOffice virtual office is accepted for registration, and bundling it saves 15% on incorporation.
